1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and EY Digital Brands LLC, operating under the brand name The Great Project ("Company," "we," "us," or "our"), concerning your access to and use of the website located at thegreatproject.com (the "Site") and any products or services offered through the Site.

Our products, including EMS fitness devices, dietary supplements, and personal wellness products, are sold exclusively for personal, non-commercial use. You may not purchase products from this Site for the purpose of resale, distribution, or any commercial exploitation without our express written authorization. We reserve the right to cancel orders we reasonably believe are placed for commercial resale purposes and to limit quantities sold to any individual customer.

Your placement of an order constitutes an offer to purchase, not a confirmed contract. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear fraudulent, exceed reasonable quantity limits, or cannot be fulfilled due to inventory availability. In such cases, we will notify you by email and issue a full refund of any charges.

A binding contract is formed only when we send you an order confirmation email. We are not liable for any losses arising from our refusal or cancellation of an order.

10. Shipping and Delivery

11. Returns and Refunds

If you purchase a subscription (monthly, quarterly, or semi-annual), you authorize us to charge your payment method on a recurring basis at the interval selected. Full subscription terms, cancellation rights, and billing practices are governed by our Subscription Policy, which is incorporated into these Terms by reference.

13. Social Media and User-Generated Content

If you submit reviews, testimonials, photos, or other content to us or tag us on social media, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, adapt, publish, and display such content in any medium for marketing and promotional purposes, without compensation to you.

You represent that any content you submit does not infringe the rights of any third party and does not contain defamatory, offensive, or illegal material. We reserve the right to remove any user content that violates these Terms or that we find objectionable, without notice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EY DIGITAL BRANDS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

19. Mandatory Arbitration and Class Action Waiver

A. Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes involving our intellectual property rights or small claims court matters, you and EY Digital Brands LLC agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, your use of the Site, or your purchase of any products ("Disputes") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in English. You may initiate arbitration by contacting us at support@thegreatproject.com.

By agreeing to arbitration, you and we are each waiving the right to a trial by jury. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

B. Class Action Waiver

YOU AND EY DIGITAL BRANDS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

If this class action waiver is found to be unenforceable in any particular case, then the entirety of the arbitration provision in this Section shall be null and void for that case, and the dispute shall proceed in court.

C. Opt-Out Right

You have the right to opt out of this Mandatory Arbitration and Class Action Waiver by emailing support@thegreatproject.com with the subject line "Arbitration Opt-Out" within 30 days of your first purchase from us. Your opt-out must include your full name and the email address associated with your account. If you opt out, you retain the right to pursue disputes in court.

D. Exceptions

Nothing in this Section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

20. Indemnification

You agree to indemnify, defend, and hold harmless EY Digital Brands LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit to the Site.

We do not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party site. Your use of third-party sites is at your own risk and subject to those sites' terms and conditions.

By using our Site or placing an order, you consent to receive communications from us electronically, including by email and SMS (where you have opted in). You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

23. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. To the extent that any Dispute is not subject to mandatory arbitration under Section 19, you and we consent to the exclusive personal jurisdiction of the state and federal courts located in Cheyenne, Wyoming for the resolution of such Disputes.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

25. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, Subscription Policy, and Billing Terms & Conditions, constitute the entire agreement between you and EY Digital Brands LLC with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
